Welcome to SyncSurvys (“we”, “us”, or “our”). These Terms & Conditions (“Terms”) govern your access to and use of syncsurveys.com and any products or services purchased from us (“Services”). By accessing our Website or purchasing our Services, you agree to be bound by these Terms. This Customer Terms of Service is entered into by and between SyncSurvys and the entity or person placing an order for or accessing any Services ("Customer" or "you"). If you are accessing or using the Services on behalf of your company, you represent that you are authorized to accept this Agreement on behalf of your company, and all references to "you" or "Customer" reference your company. Please note that if you sign up for the Services using an email address from your employer or another entity, then (1) you will be deemed to represent such party, (2) your acceptance will bind your employer or that entity to these terms, and (3) the words "Customer", "you" or "your" in this Agreement will refer to your employer or that entity.

This Agreement permits Customer to purchase subscriptions to online software-as-a-service products and other services from SyncSurvys pursuant to any SyncSurvys ordering documents, online registration, order descriptions or order confirmations referencing this Agreement ("Order Form(s)") and sets forth the basic terms and conditions under which those products and services will be delivered.

1. The Services

(i) Access and usage

Subject to these Terms, we will provide the SyncSurvys Services to you in accordance with the subscription plan. For using SyncSurvys Services, you must register and create an account ("Account"). Creation of Account may require you to (i) provide your contact information; (ii) submit any form of authentication during registration process, as may be determined by us; and (iii) indicate your agreement to the Terms. You must provide accurate and complete information and keep your Account information updated. You shall not: (i) select and/or use a username or name of another person with the intent to impersonate that person; (ii) use as a username a name that is otherwise offensive, vulgar and/or obscene; and (iii) use a as a username a name subject to any rights of a person other than you without appropriate authorization.

(ii) Suspended accounts

You should not create an Account and/or use the SyncSurvys Services if you have been previously removed by us and/or banned from the SyncSurvys Services for any reason. You are fully responsible for all activities that occur under your Account and for other actions taken in connection with your Account. SyncSurveys reserves the right to suspend, restrict, or terminate your Account for reasons including, but not limited to: violations of company policies, fraudulent or deceptive activity, security risks, infringement of intellectual property rights, non-payment of fees, or prolonged inactivity.

(iii) Updates

SyncSurvys may update the Services from time to time, provided that such updates do not materially reduce the core functionality.

2. Privacy and data protection

Our privacy practices regarding Personal Information stored using the Website and/or Rocket Services are governed by the then-current version of our Privacy Policy ("Privacy Policy"). They apply to consumer users of the Services, inclusive of the Free, Premium and Pro plans

3. Fees, Payment Terms and Refund Policy

(i) Fees

Customer agrees to pay all fees specified in the Order Form. All fees are non-refundable except as expressly set forth in the Refund Policy section. SyncSurvys reserves the right to modify pricing with thirty (30) days' written notice prior to the start of any renewal subscription term.

(ii) Payment

Payments for our digital products and services are processed securely through our payment partner Paddle. Customer must keep all information in its billing account current to ensure that all Fees are charged to the appropriate account and are timely paid. All Fees and other amounts payable by Customer under this Agreement are exclusive of taxes and similar assessments.The Customer is responsible for all sales, use and excise taxes, and any other similar taxes, duties and charges of any kind imposed by any federal, state or local governmental or regulatory authority.

(iii) Refund Policy

All payments made for subscriptions, services, or features on SyncSurveys are generally non-refundable, except where required by (1) law or (2) the service was unavailable due to verified system failures on SyncSurveys’ side for a prolonged period, and The user reported the issue through official support channels within a reasonable time or (3) if a user is charged multiple times due to system errors, duplicate transactions will be refunded upon verification, users must report such issues within a reasonable timeframe after noticing the charge. Users are responsible for reviewing the features, pricing, and subscription terms before completing payment. Subscription fees are charged in advance for the selected billing period (monthly or annually). SyncSurveys does not provide refunds for partial unused subscription periods, including cases where the user chooses to cancel their subscription before the end of the billing cycle.

4. Restrictions, Responsibilities and Rights

Customer will not: (a) make the Services available to third parties; (b) sell, resell, license, sublicense, distribute, or otherwise commercialize the Services; (c) use the Services to store or transmit infringing or unlawful material; (d) interfere with or disrupt the integrity or performance of the Services.

5. Warranties

Each party represents and warrants that it has the full legal right, authority, and capacity to enter into and perform its obligations under this Agreement. SyncSurvys warrants that the Services will perform in all material respects in accordance with the applicable user documentation provided by SyncSurvys, subject to any limitations, maintenance periods, or service disruptions that may occur from time to time. Customer acknowledges that no software or online service can be guaranteed to operate without interruption or error. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, SYNSURVYS DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR SATISFACTORY QUALITY. SyncSurvys does not warrant that the Services will meet all Customer requirements or that operation of the Services will be uninterrupted, secure, or completely error-free.

6. Confidential Information

Each party agrees to protect the other party’s Confidential Information using at least the same degree of care that it uses to protect its own confidential and proprietary information, but in no event less than reasonable care. Confidential Information includes, but is not limited to, business strategies, customer data, technical documentation, pricing information, financial records, trade secrets, and any other information reasonably considered confidential under the circumstances. Neither party shall disclose the other party’s Confidential Information to any third party without prior written consent, except that disclosure may be permitted to employees, contractors, consultants, legal advisors, or service providers who have a legitimate need to know such information in order to perform obligations under this Agreement, provided that such persons are bound by confidentiality obligations at least as protective as those contained herein. The obligations under this section shall survive termination or expiration of this Agreement for a reasonable period or as otherwise required by applicable law

7. Term and Termination

This Agreement commences on the date first accepted and continues until all subscriptions hereunder have expired or been terminated. Either party may terminate this Agreement upon written notice if the other party materially breaches the Agreement and fails to cure within thirty (30) days of receiving notice. Either party may also terminate this Agreement immediately if the other party becomes insolvent, enters bankruptcy proceedings, or engages in unlawful activity that materially affects the performance of this Agreement.

8. Indemnity

Customer agrees to defend, indemnify, and hold harmless SyncSurvys, its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to Customer’s use of the Services in violation of this Agreement, applicable laws, or the rights of any third party.
